Agreement
These Terms of Service ("Terms") govern your use of outboundbio.com and the services provided by OutboundBio ("OutboundBio", "we", "us"). By using the website or signing an order or agreement with us, you ("you", "Client") agree to these Terms. If you sign a separate written agreement with us, that agreement takes priority where it conflicts with these Terms.
Our services
OutboundBio provides B2B outbound programs for CROs and CDMOs, including buyer research, verified contact lists, email copy, setup of dedicated sending domains and inboxes, campaign sending, reply handling and reporting. We also offer an optional webinar campaign add-on. The exact scope, volumes and deliverables are set out on our website or in your order.
Your responsibilities
You agree to:
- give us accurate information about your company, services and ideal customers;
- review and approve messaging before it is sent, and tell us promptly about anything that is inaccurate or not permitted;
- provide the access and approvals we need on time;
- make sure the claims in approved messaging are true and that you are allowed to make them;
- handle replies and leads you receive in line with applicable law;
- review outreach with your own compliance team where your industry or company requires it.
Fees and payment
Fees are as stated on our website or in your order at the time you sign. Infrastructure and data costs are included in the Outbound Program fee unless your order says otherwise. Invoices are payable on the terms shown on the invoice. Fees exclude taxes, which you are responsible for where applicable. We may pause services if an invoice is overdue, after giving you notice.
Term and cancellation
The Outbound Program runs month to month. Either party may cancel with 14 days written notice. Fees already paid for the current month are not refundable, except under the onboarding commitment below. On cancellation, you keep the lists, copy and reports produced for you, and we will transfer domains and inboxes on request.
Onboarding commitment
If infrastructure is not live and your first emails are not sent within 21 days of kickoff, once all access and approvals from you are in place, your first month's fee is refunded. Delays caused by missing access, approvals or information from you extend this period accordingly.
Ownership
Once paid for, the lists, email copy and reports we create for you are yours to use for your own business. Domains and inboxes registered for your program are transferred to you on request. OutboundBio keeps ownership of its own methods, templates, know-how and tools, and may reuse general learnings that do not identify you or your data.
Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform or receive the services. This does not apply to information that is public, already known, independently developed or required to be disclosed by law.
Data protection
Each party will comply with data protection laws that apply to it. Where we process personal data on your behalf, we act on your documented instructions and can sign a data processing agreement on request. Our Privacy policy explains how we handle personal data as a controller.
No guarantee of results
We commit to delivering the work described in your order and to reporting on it. Replies, meetings, pipeline and revenue depend on many factors outside our control, so we do not guarantee any particular business outcome.
Acceptable use
You may not use our services or website to send unlawful, misleading or harmful content, to target consumers rather than businesses, to infringe anyone's rights, or to interfere with the website's security or operation. We may refuse or stop sending any content that we believe breaks the law or our Outreach policy.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or for lost profits, revenue or data. Our total liability arising from the services is limited to the fees you paid to us for the services in the month before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
Indemnity
You agree to cover reasonable losses and costs we incur because of claims arising from content or information you provided or approved, or from your breach of these Terms.
Use of this website
The content of outboundbio.com is provided for general information. We may change or remove it at any time. Trademarks and logos shown on the website belong to their respective owners.
Governing law
These Terms are governed by the laws of India. The courts of Pune, Maharashtra have exclusive jurisdiction over any dispute, unless your written agreement with us says otherwise.
Changes to these Terms
We may update these Terms from time to time. The "Last updated" date shows the latest version. Changes do not affect an order already signed unless both parties agree.
